Terms of Service

The agreement between Covendri and the businesses that use our service.

1. The agreement

These Terms of Service ("Terms") are an agreement between Covendri [legal entity name and address] ("Covendri", "we", "us") and the business or organization that signs up for or uses the Service ("Customer", "you"). If you accept these Terms on behalf of an organization, you confirm that you have authority to bind it.

The Service is for business use only. If you have a separate signed agreement with us, that agreement controls where it conflicts with these Terms.

2. The Service

Covendri provides an AI-assisted IT support service: the Covendri Agent software installed on Customer computers, the Covendri menu bar and tray app, the admin dashboard, and related features such as monitoring, approvals, audit logs and a knowledge base (the "Service").

Early access. The Service is currently offered as early access and pilots. We review and approve each workspace before activating it and may decline or limit access. Early-access features may change, be limited by usage limits, or be discontinued. Features described as "coming soon" are not part of the Service until we make them available.

3. Accounts and admins

  • You are responsible for the accuracy of your account information and for all activity in your workspace.
  • You control who is an admin. Admins can enroll devices, approve or decline actions, configure policies, invite users and view your workspace's data.
  • Keep sign-in credentials secure and tell us promptly at support@covendri.com if you suspect unauthorized access.

4. Installing the Covendri Agent

The Covendri Agent runs with administrator rights on the computers you enroll so it can diagnose and fix problems. By enrolling a device, you confirm that:

  • Your organization owns or is authorized to manage the device;
  • You have given any notice to, and obtained any consent from, the device's users that applicable law or your own policies require; and
  • You will remove the Covendri Agent from devices you are no longer authorized to manage.

You are responsible for keeping appropriate backups of your devices and data.

5. AI actions and approvals

The Service uses artificial intelligence to diagnose problems and propose or perform fixes using a defined set of tools. Each tool is assigned a risk level. Read-only and low-impact tools may run automatically under your workspace's policy; high-impact actions (such as installing software, closing applications, running scripts or restarting a computer) require approval from one of your admins.

  • AI can make mistakes. Diagnoses and suggestions may be incomplete or wrong. Review approval requests carefully before approving them.
  • Your decisions are yours. When an admin approves an action, the Customer is responsible for that decision.
  • You set the policy. You can require approval for low-impact actions as well, or disable categories of actions.

We do not guarantee that the Service will resolve any particular problem.

6. Customer Data

"Customer Data" means information processed through the Service on your behalf, including device diagnostics, help requests, screenshots, knowledge base content, audit records and user account information.

  • You own your Customer Data. You grant us a limited right to process it only to provide, secure and support the Service and as described in our Privacy Policy.
  • Controller and processor. You are the controller of Customer Data relating to your employees and devices; we process it on your behalf and according to your instructions.
  • No selling, no training. We do not sell Customer Data and do not use it to train AI models.
  • Deletion. You may request deletion of your Customer Data at any time by emailing support@covendri.com.
  • Aggregated data. We may use aggregated, de-identified information about how the Service performs (for example, usage counts) to operate and improve it, provided it does not identify you, your users or your devices.

7. Acceptable use

You agree not to, and not to allow anyone else to:

  • Install the Covendri Agent on devices you are not authorized to manage, or use the Service to monitor people without legally required notice or consent;
  • Use the Service for anything unlawful, harmful or fraudulent, or to infringe others' rights;
  • Attempt to bypass approvals, usage limits or security controls, or to access other customers' data;
  • Reverse engineer, copy or resell the Service, except as allowed by law; or
  • Interfere with the Service's operation, or upload malware.

8. Fees

Pilot pricing is agreed with each Customer. Any fees, plan limits and payment terms will be set out in your order or plan details. Unless stated otherwise, fees are non-refundable and exclusive of taxes.

9. Third-party services

The Service relies on third-party providers, including Microsoft Azure for hosting, Azure OpenAI Service for AI processing, Cloudflare for DNS and email routing, and Microsoft or Google for sign-in if you choose them. Your use of third-party sign-in is also subject to those providers' terms. We are not responsible for third-party products that you use alongside the Service.

10. Confidentiality

Each party will protect the other's non-public information that it receives in connection with the Service with reasonable care, and use it only to perform under these Terms. This does not apply to information that is public, already known, independently developed, or lawfully received from someone else.

11. Intellectual property and feedback

Covendri owns the Service, including its software, design and documentation. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service, including the Covendri Agent, for your internal business purposes during your subscription. If you send us feedback, we may use it without obligation to you.

12. Term, suspension and termination

  • These Terms apply while you use the Service. You may stop using it and close your workspace at any time.
  • We may suspend access if needed to prevent harm, address a security risk, or respond to a material breach of these Terms, and will tell you when we reasonably can.
  • Either party may terminate for material breach that is not cured within 30 days of notice. During early access, we may also end a pilot with reasonable notice.
  • On termination, you should uninstall the Covendri Agent from your devices. We will delete Customer Data as described in our Privacy Policy.

13. Disclaimers

We will provide the Service with reasonable skill and care. Otherwise, and to the extent allowed by law, the Service, especially during early access, is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will fix every problem.

14. Limitation of liability

To the extent allowed by law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if advised of the possibility. Each party's total liability arising out of these Terms will not exceed the greater of the amounts you paid us for the Service in the 12 months before the claim or [US$100]. These limits do not apply to a party's indemnification obligations, breach of confidentiality, or liability that cannot be limited by law.

15. Indemnification

You will defend and indemnify Covendri against third-party claims arising from devices you enrolled without authorization, your failure to give required notices or obtain required consents, or your Customer Data. We will defend and indemnify you against third-party claims that the Service, as provided by us, infringes their intellectual property rights.

16. General

  • Changes. We may update these Terms. For material changes, we will notify admins in advance by email or in the dashboard. Continued use after changes take effect means you accept them.
  • Governing law. These Terms are governed by the laws of [jurisdiction], and disputes will be resolved in the courts located there.
  • Assignment. Neither party may assign these Terms without the other's consent, except to a successor in a merger, acquisition or sale of substantially all of its assets.
  • Entire agreement. These Terms, together with our Privacy Policy and any order, are the entire agreement about the Service. If any provision is unenforceable, the rest remains in effect. Failing to enforce a provision is not a waiver.
  • Force majeure. Neither party is liable for delays caused by events beyond its reasonable control.
